Selecting your business structure (LLP, LLC, Corporation, etc.) should be made with certain long term considerations concerning management, assets, growth and exit strategy.  Among the assets your business will possess is its intellectual property.  In this presentation, we will examine some of the considerations relevant to choosing your business structure, and examine how you might protect your intellectual property.

Henry Park

Henry Park is the Principal in the Law Office of Henry Park, P.C. Mr. Park specializes in representing clients with intellectual property, corporate, and entertainment needs. He has represented branded pharmaceutical, manufacturing, service providers, and other high-tech clients in litigation and corporate transactions. Mr. Park is an alumnus of two well-respected New York City law firms: Fitzpatrick, Cella, Harper & Scinto and Willkie Farr & Gallagher LLP.

At these firms, Mr. Park represented a number of clients in their litigations. His notable accomplishments include: the successful representation of the pharmaceutical companies Takeda Chemical Industries, Abbott Laboratories and Bristol-Myers Squibb Co. in their respective litigations against generic pharmaceutical companies Oakwood Laboratories, Teva Pharmaceuticals and Andrx Laboratories; CAMP, when it was sued for allegedly infringing Gulfstream's copyrights in aircraft maintenance manuals; and Unilin, when it was sued for allegedly infringement Akzenta's patent covering floorboard installation instructions.

Mr. Park has extensive experience with corporate transactions. He has provided clients with opinions of counsel concerning their business activities, performed due diligence upon potential acquisition targets, and provided freedom to operate opinions. Mr. Park got his J.D. from Boston University School of Law and B.S. Biochemistry from University of Minnesota.

 


 

Prudence Thiry

Prudence Thiry is Of Counsel to Law Office of Henry Park, P.C. Ms. Thiry is a senior corporate attorney with expertise in complex corporate transactions.  Ms. Thiry has practiced at major law firms in New York City and Paris representing investors and businesses in mergers and acquisitions, seed and venture capital investments, and has also advised on joint ventures, recapitalizations, divestments, commercial transactions and fund formation. 

Some examples of Ms. Thiry’s work include:

  •   advising startup companies with their formation and pre-funding legal needs;
  •   advising investors in relation to term sheets for private equity investments in the U.S., France, and India;
  •   representing a French public real estate holding company in the negotiation of a joint-venture modification due to the exit of a joint venture partner;
  •  representing a U.S. private equity fund in the constitution of two portfolios of companies servicing the mining industry of the Western United States;
  •   representing portfolio companies of French private equity funds in their strategic acquisitions of industrial companies in the United States; and
  •  representing a hedge fund formed in the Cayman Islands in its recapitalization private placement.

Ms. Thiry will assist you in determining your optimal capital structure (pre-funding and post-funding), protecting your interests in seeking investors, protecting your interests when negotiating agreements with your commercial partners, and incentivizing your employees and consultants. Ms. Thiry is an alumna of U.S. law firm Goodwin Procter LLP and international law firms SJ Berwin LLP and S.G. Archibald. Ms. Thiry holds a L.L.M from Cornell Law School and D.E.S.S Juriste Européen, D.E.J.A. Option Droit Anglo-Américain and Maitrise Droit Privé des Affaires from Université Paris X-Nanterre.
